Terms of Use

Akwa is operated by Akwa B.V., a Dutch besloten vennootschap incorporated in Rotterdam and registered with the Kamer van Koophandel.

These Terms of Use apply when you access or use Akwa at akwa.design, the Akwa mobile apps, or any connected catalogue, blog, or brief-sharing flow operated under the Akwa brand.

Akwa B.V. is committed to cultural integrity in every design, support for the tailors and makers who turn designs into garments, and rigorous protection of customer data, creative work, and consent, in line with Dutch and EU law.

1. Acceptance

By using Akwa, you agree to these Terms of Use. If you do not agree, do not use the service. If you create an account or make a purchase for a business, you confirm that you have authority to do so for that business.

2. Eligibility

You must be at least 16 years old to use Akwa. If you are using Akwa on behalf of a business, studio, or tailoring practice, you remain responsible for ensuring that all users under that account or workspace follow these Terms.

3. What Akwa does

Akwa is an AI fashion design platform. It helps users create visual fashion concepts, tailor-ready briefs, catalogue purchases, styling suggestions, and related outputs based on the instructions they provide. Akwa uses third-party model and infrastructure providers to generate those outputs.

Akwa also operates Egoyibo, the fashion house of Akwa, through which physical garments, accessories and limited-edition collections may be offered for sale.

4. Accounts and account security

You are responsible for keeping your login credentials secure and for all activity that happens under your account. You must provide accurate information when creating an account and you must not impersonate someone else, share credentials outside your authorised seat count, or try to bypass security features.

5. Plans, purchases, and billing

Akwa offers free access, subscriptions, one-time design purchases, catalogue briefs, and other paid products. Pricing shown in the product, checkout, or app store listing controls for the specific purchase.

Web NGN payments are processed through Paystack. Supported non-NGN web catalogue and subscription payments may be processed through Stripe. Native iOS and Android purchases are processed through the Apple App Store or Google Play, with RevenueCat used for purchase orchestration and fulfilment. On iOS, the App Store determines the final price for your territory, including any applicable VAT; the price you see in the App Store at the moment of purchase controls.

Akwa does not receive or store full payment card details. Payment processors and app stores handle those details under their own terms and privacy notices.

Subscriptions renew automatically unless cancelled before the next renewal date. One-time purchases, including catalogue briefs and packs, do not renew. Refunds are handled according to the payment method used, applicable law, and (for native purchases) the rules of Apple or Google.

If you are in the EEA, UK, or another jurisdiction with a digital-content right of withdrawal, you have a 14-day right to withdraw from a purchase of digital content or services unless you have expressly waived that right at checkout. Akwa collects this waiver as a separate, affirmative checkbox before payment for monthly and annual subscriptions, credit top-up and one-off purchases, and catalogue brief purchases. By ticking the waiver and proceeding to payment, you request immediate performance and acknowledge that the right of withdrawal no longer applies once delivery has begun.

These Terms also apply to purchases of physical products through Akwa or Egoyibo unless separate product-specific terms are expressly provided.

6. Physical Products (Egoyibo Fashion House)

Akwa may offer physical products under its fashion house, Egoyibo, including garments, accessories, footwear, and related merchandise.

Product Information

We aim to describe and photograph products as accurately as possible. Because garments are made from natural materials and viewed on different devices, colours, textures and finishes may vary slightly from the images shown. Many Egoyibo garments are produced in limited quantities or made to order, and minor variations between individual garments may occur and are part of the character of handcrafted production.

Availability

All products are offered subject to availability. Limited editions, pre-orders and archived collections may become unavailable without notice. Adding a product to your basket does not reserve it until your order has been accepted.

Pricing

Prices are shown at checkout and include VAT where required by applicable law unless stated otherwise. Shipping costs, customs duties, import taxes and local charges are calculated or disclosed during checkout where possible. Customers remain responsible for any import duties or taxes imposed by their destination country unless expressly stated otherwise.

Orders

After placing an order you will receive an acknowledgement email. This does not constitute acceptance of your order. Akwa may decline or cancel an order where payment cannot be verified, stock becomes unavailable, fraud is suspected, pricing errors occur, or applicable laws require cancellation.

Delivery

Estimated delivery dates are provided in good faith but are estimates only. Delivery delays caused by customs authorities, carriers, weather events or circumstances outside Akwa's reasonable control do not constitute a breach of these Terms. Risk in the goods passes to you upon delivery.

Returns

Consumer customers may have statutory cancellation and return rights under applicable consumer law. Unless an item is defective or incorrectly supplied, personalised products, made-to-measure garments, bespoke commissions, and products altered at the customer's request cannot normally be returned once produced or supplied. Returned items must be unworn, unwashed, with original tags and packaging where reasonably possible.

Defective Products

Nothing in these Terms limits any mandatory consumer rights relating to defective or non-conforming goods. If you believe your order is defective, please contact support promptly with photographs and your order number.

Garment Care

Care instructions supplied with each garment should be followed. Akwa is not responsible for damage caused by improper washing, drying, alterations or storage after delivery.

7. Fair Use

Akwa is licensed for genuine human-led creative and tailoring use. It is not licensed for account sharing, scraping, industrial prompt farming, abuse of trial quotas, or repackaging Akwa's outputs as a white-label system without written permission.

What you must not do

Akwa may throttle, suspend, refuse fulfilment, or terminate accounts that breach these Terms or abuse the service.

8. Intellectual property and licensing

You retain ownership of the lawful text, images, and instructions you submit to Akwa. You grant Akwa a non-exclusive, worldwide, royalty-free licence to host, transmit, process, and analyse your prompts and reference images for the purposes of generating, refining, rendering, and delivering your design output, and for ordinary service operations such as rate-limit checks, abuse monitoring, and quality review for up to 30 days after delivery. Akwa does not use your uploads to train AI models; the AI sub-processors that process your inputs, under their terms, do not train their models on your raw inputs or outputs, though they may retain anonymised or aggregated usage data. Akwa's software, prompts, workflow design, interface, branding, catalogue structure, and non-user content remain Akwa's property. All designs, concepts, and creative content published by Akwa are the original intellectual property of Akwa B.V.

Designs you create using the Akwa design wizard, Akwa Capture, or any other user-facing generation surface are intended for your use within the scope of your plan tier (personal, professional, or commercial as your plan permits). Akwa retains anonymised metadata and aggregate visual statistics for service improvement, but does not republish individual user-generated designs. Where your plan does not include commercial use, you must not resell, sublicense, or redistribute the design output as a standalone product.

Licence tiers

Custom commissions (Akwa Studio)

Custom-commissioned designs are created exclusively for the commissioner and not listed in the public catalogue. Rights structure (exclusive commercial or extended exclusive) is agreed in writing prior to work. Akwa treats commission briefs, references, and brand information as confidential. Akwa retains the right to decline any commission request.

AI-generated outputs

Akwa uses AI tools to generate design outputs. Outputs are generated and refined automatically within Akwa's proprietary, software-based design system; Akwa does not provide human review or curation of individual designs. Akwa asserts ownership of outputs generated on its platform and licences rights to buyers per the licence tiers above. The IP status of AI-assisted works continues to evolve across jurisdictions; for commercial or exclusive licences, you are responsible for assessing the position in your own jurisdiction if relevant.

9. AI and tailoring disclaimer

Akwa generates AI-assisted briefs and images. They are intended to help creative decision-making and tailoring communication, not to replace professional judgement. You are responsible for checking fit, measurements, fabric suitability, construction feasibility, local legal compliance, and any intellectual property or commercial risks before use.

Akwa's briefs are starting points for conversation with a tailor, seamstress, atelier, or production partner. Final specifications must be confirmed at fitting and before cutting.

10. Privacy and data

Your use of Akwa is also governed by the Privacy Notice and, where relevant, the Akwa Mirror notice.

11. Suspension, termination, and account deletion

You may stop using Akwa at any time and you may delete your account through Settings. Akwa may suspend or terminate access if you breach these Terms, abuse the service, create legal or security risk, or fail to pay for a paid product.

12. Liability and indemnification

To the fullest extent permitted by law, Akwa is provided "as is" and "as available". Akwa does not guarantee uninterrupted access, perfectly accurate outputs, or that any garment made from an Akwa brief will meet your expectations without professional review and fitting.

Nothing in this section limits any mandatory statutory rights consumers may have in relation to defective physical goods under applicable consumer protection laws.

To the fullest extent permitted by applicable law, Akwa's total aggregate liability arising out of or relating to the Services, the Production Outputs, or these Terms shall not exceed the greater of (a) EUR 2,000; or (b) the total fees paid by the Customer to Akwa during the twelve (12) months preceding the event giving rise to the claim. The foregoing limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, statute, or otherwise. Akwa is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Akwa designs are original works produced by Akwa's own design system; Akwa does not copy named brands and does not point its prompt-compiler at trademarked third-party fashion houses. This indemnification therefore concerns claims that arise from your conduct, not Akwa's outputs. You will defend, indemnify, and hold Akwa and Egoyibo Okoro harmless from any third-party claim, damage, or legal cost arising from (a) reference images or other content you submitted to Akwa that you did not have the right to provide; (b) modifications, additions, or third-party logos, trademarks, or trade-dress you applied to an Akwa-generated design after delivery; or (c) your use of an Akwa-generated design outside the scope of your plan tier or your licence. This indemnification does not apply to any claim that arises solely from Akwa's own breach of these Terms or Akwa's own unlawful conduct.

13. Design Services: Design Trust, Design Check, and creative tools

Akwa's design services may include design generation, Sketch It, Build Block by Block, Design Trust, Design Check, portfolio-level design intelligence, design screening, design fingerprinting, tailor briefs, and production outputs (together, the "Design Services"). Different Design Services perform different functions and carry different technical, evidential, and legal limitations. The availability of one Design Service is not evidence that any other review, validation, screening, or production process has been completed. Unless expressly stated for a particular Service, outputs are decision-support and creative-workflow outputs, and you remain responsible for decisions to publish, pitch, procure, license, manufacture, market, sell, or otherwise commercially rely on a design.

Design Trust is screening, not certification. Design Trust screens a design for resemblance to a recognizable design signature while distinguishing that from shared cultural heritage and common garment archetypes, and grades the result (No Triggers Detected, Triggers Detected, Hold for Review, or Screen Incomplete). It is not legal advice, a legal opinion, intellectual-property clearance, a freedom-to-operate analysis, an infringement determination, an originality or authenticity certificate, a guarantee of uniqueness, or a guarantee that a design may lawfully or commercially be used in any jurisdiction. A result that does not surface a trigger does not establish that no similar design exists, that the design is original, that no third-party rights are implicated, or that publication or commercialisation is risk-free.

A similarity, resemblance, convergence, or near-duplicate signal does not by itself establish copying, infringement, misappropriation, or lack of originality. Designs may resemble one another because they share garment archetypes, functional constraints, seasonal conventions, a common design vocabulary, or a shared cultural or heritage tradition. Heritage-context assessment does not determine cultural ownership, authenticity, community consent, or entitlement to use a cultural expression.

Certain Design Services use more than one independent automated assessor, which may agree, disagree, or fail to complete. Where a design is held for review, that review is the responsibility of the User or, for an organisational account, the Customer's authorised personnel or advisers. Akwa does not provide human review as part of Design Trust or Design Check, and does not make your publication, procurement, production, commercialisation, intellectual-property, or legal decision.

Design Check is a private, pre-publication screening for a single design. The uploaded design is processed for the screen and then deleted, together with any description of it. Akwa retains only a minimal screening record and a cryptographic fingerprint of the file, not the uploaded design itself. To deliver the report you paid for, Akwa holds the deliverable result for a short period (currently up to 7 days) so you can retrieve it, after which it is deleted. Further detail is in the Privacy Notice.

Where enabled, portfolio-level design intelligence may surface patterns across a body of work (recurrence, convergence, proximity, near-duplication, novelty). A recurring pattern is not inherently negative and Akwa does not determine, from recurrence or proximity alone, whether it is intentional, original, infringing, or commercially appropriate. Sketch It and Build Block by Block do not guarantee that any output is unique, original, protectable, technically feasible, or non-infringing.

Warranties for Design Services. Without limitation, Akwa does not warrant that any screening process is exhaustive; that any output is original, unique, non-infringing, or legally cleared; that all similarities, third-party rights, protected designs, trade dress, copyright interests, or cultural interests will be identified; or that a No Triggers Detected or equivalent outcome establishes the absence of legal, commercial, reputational, or other risk. Except for rights and remedies that cannot lawfully be excluded, and subject to section 14 where you are a consumer, the Design Services, screening records, automated assessments, similarity and heritage signals, portfolio intelligence, and generated outputs are provided on an "as is" and "as available" basis.

14. Consumers

Nothing in these Terms excludes, restricts, or limits any mandatory right or remedy available to a consumer under applicable law. Where a consumer purchases a paid Design Service, Akwa will supply the digital content or digital service in accordance with applicable mandatory consumer law. The Service remains subject to the disclosed scope, technical limits, usage limits, and inherent limitations described in these Terms and at the point of purchase. A consumer remains responsible for the decision to publish, sell, or otherwise commercially use a design, but this section does not exclude any responsibility that applicable law does not permit Akwa to exclude.

15. Business customers

A Business Customer remains responsible for its own legal, commercial, intellectual-property, procurement, production, and publication decisions, and must determine the level of human and professional review appropriate to each design, including where Design Trust returns Triggers Detected or Hold for Review, where assessors disagree, or where material investment or a specific third-party right may be implicated. Unless expressly agreed in writing, Akwa does not assume a Business Customer's due-diligence obligations, and personnel authorised to act on Design Trust outcomes should understand that screening signals are decision-support outputs, not legal determinations.

16. Governing law, entity, and contact

These Terms are governed by the laws of the Netherlands, without prejudice to any mandatory consumer rights that apply in your home jurisdiction.
